BYLAWS

Article I - Name

Section 1: The name of this organization shall be the New England Football League,

hereby known as the N.E.F.L.

 

Article II - Purposes

Section 1: To provide the opportunity for men, over the age of eighteen years old, to

participate in a full contact amateur football league; to allow qualified teams to

compete in a league atmosphere, so long as it is in the best interest of the

N.E.F.L.; to provide a forum for speakers of reputation and accomplishment to

represent their views; to assist individuals who wish to actively participate in

the N.E.F.L. to realize this goal; to serve the needs of the directors, teams, and

players, as those needs may be determined by the N.E.F.L.; to provide facilities

and personnel to implement full contact football games; to under rules approved by

the N.E.F.L., structure a competitive organization for all participants; and to

enjoy all of the rights, powers, and privileges permitted to non-profit

associations under Chapter 180 of the General Laws of the Commonwealth of

Massachusetts, as amended from time to time, but the League shall at no time

exercise any of its purposes as objects, or any of its League powers in such a

manner as to deprive itself of the right to exemption from taxation under Section

501 (c) (3) of the Internal Revenue Code of 1954 of the United States of America,

as amended, or the corresponding provision of any future United States Revenue Law.

 

Section 2: To acquire by purchase, lease, gift, bequest, device, endowment, or

otherwise, and to dispose of by sale, lease, gift or otherwise, property of every

nature and description whether real, personal, or mixed, that will benefit both

teams and the N.E.F.L.

Article III - Membership

 

Section 1: Membership shall be open to men over the age of eighteen who desire to

participate in a full contact amateur football league.

 

Section 2: All participants in the N.E.F.L. shall sign a waiver releasing and holding

harmless the N.E.F.L., its officers, coaches, directors, and sponsors, as well as

the governing body or bodies of the playing and non-playing facilities that any

N.E.F.L. game will be used or played on.

 

Section 3: All participants will be required to sign a waiver to declare themselves

physically able to participate in full contact football, so that the N.E.F.L., its

officers, coaches, directors, sponsors, as well as the governing body or bodies of

the playing and non-playing facilities that any N.E.F.L. game will use or play on.

 

Section 4: Fees may be required by the participants to cover operating or unforeseen

costs, so that the N.E.F.L. may continue its operation.

 

Section 5: The N.E.F.L. reserves the right to establish conditions precedent to

participation, and also reserves the right to disqualify a current participant from

playing any further for conduct not in the interest of the N.E.F.L.Article IV - Board of Directors

 

Section 1: The Board of Directors shall be composed of individuals appointed at an

annual meeting of the N.E.F.L. This Board will be responsible for setting rules,

regulations, and policies of the N.E.F.L. and may receive, hold, and dispose of

funds. They shall have the general direction, control and management of the

property of the N.E.F.L., and employ personnel for the furtherance of the business

of the N.E.F.L.

 

Section 2: Directors shall be appointed for a term of one year, thereafter the terms of

the expired members shall be appointed at the annual league meetings as provided

herein.

 

Section 3: Any member of the Board appointed by the Board of Directors may be removed by

a vote of four-fifths (4/5 ths) of the Board of Directors for cause and whenever in

its judgment the best interest of the N.E.F.L. would be served thereby.

 

Section 4: In order for any vote to take place, 51% of the appointed Board of Directors

must be present. If 51% of the appointed Board of Directors are not present, then

a vote cannot take place.

Article V - Officers and their duties

 

Section 1: The president shall preside at all meetings, coordinate and give direction to

the activities of the Board of Directors and perform such duties as are required by

the Board of Directors and the N.E.F.L.

 

Section 2: All committee chairpersons shall preside over all committee meetings, with

the ideas and results reported to the Board of Directors at the next N.E.F.L.

meeting.

 

Section 3: The corresponding Secretary, under the direction of the Board, shall conduct

all correspondence of the N.E.F.L.

 

Section 4: The Treasurer shall be the custodian of any funds, financial records, and

accounts belonging to the N.E.F.L.

 

Section 5: All distribution for any item or expenses shall be paid by check signed by a

member of the Board of Directors, with all distribution for any item exceeding

$500.00 be paid by check only if specifically authorized by the Board of Directors.
